Corvus Terms of Conditions

1. Overview

Welcome to Corvus, a platform where expert voices live.

By creating an account, accessing, or using the Corvus platform and related services (collectively, the “Service”), you agree to these Terms & Conditions (“Terms”).

If you do not agree to these Terms, do not use Corvus.

These Terms govern your participation as an expert contributor, your eligibility for compensation, and how your contributions may be captured, analyzed, and shared as part of Corvus’s research and intelligence products.

2. Eligibility and Expert Admission

Corvus is a curated, invite-only platform designed for professionals with relevant experience and expertise.

To participate, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Provide accurate information about your professional background.
• Complete any required verification steps (e.g., LinkedIn verification, identity checks).
• Meet Corvus’s quality, expertise, and integrity standards.

Selective Admission

Corvus reserves the right, at its sole discretion, to:

• Accept or deny any application.
• Limit participation by category, industry, or role.
• Remove contributors who no longer meet platform standards.

Invitation, onboarding, or prior participation does not guarantee continued eligibility or future invitations.

3. Account Responsibilities

You are responsible for all activity conducted under your account.

You agree to:

• Provide truthful, accurate information.
• Maintain the confidentiality of your login credentials.
• Not impersonate others or misrepresent your experience.
• Use the Service only for lawful purposes.

Corvus may suspend or terminate your account if we suspect fraud, misrepresentation, or violation of these Terms.

4. Expert Contributions

As a Corvus contributor, you may be invited to participate in AI-moderated audio conversations or provide written inputs related to your expertise (collectively, “Contributions”).

Participation is voluntary. You may decline any invitation.

By participating, you acknowledge and agree that:

• Your audio may be recorded solely to generate transcripts and analytical outputs.
• Customers receive transcripts and derived insights only, not your raw audio.
• Corvus may analyze, summarize, and structure your Contributions.
• Corvus may include your Contributions in research products, indices, datasets, and reports.

Corvus reserves the right to moderate, review, or exclude Contributions that fail to meet quality or compliance standards.

5. Pseudonymity and Attribution

By default:

• Your real name and identifying details are not disclosed to customers.
• Contributions are attributed using a pseudonym or generalized expert descriptor (e.g., “Former Head of Product, Public SaaS Company”).

Corvus will not disclose your real identity to customers without your separate, explicit consent.

6. Compensation

Corvus may compensate you for eligible Contributions through:

• One-time payments,
• Ongoing royalties,
• Access-based incentives,
• Or other agreed-upon compensation mechanisms.

Compensation Terms

• Compensation terms are disclosed prior to participation.
• Payments are contingent on satisfactory completion and quality review.
• Corvus may withhold or revoke compensation for fraudulent, misleading, or low-quality Contributions.

You are solely responsible for reporting and paying any applicable taxes.

7. Ownership and License

Your Content

You retain ownership of your individual Contributions.

By submitting Contributions, you grant Corvus a perpetual, irrevocable, worldwide, royalty-free license to:

• Use, reproduce, adapt, summarize, analyze, distribute, and display your Contributions
• In transcript, excerpted, anonymized, or derived form
• For research, commercial, analytical, and product development purposes

Corvus IP

Corvus exclusively owns:

• All aggregated, anonymized, abstracted, or derived insights
• Research products, indices, datasets, analytics, and models
• The platform software, branding, and user interface

8. Promotional Use

Corvus will not use your real name, voice, or identifiable likeness for marketing or promotional purposes without your separate written consent.

If such consent is granted, you may withdraw it at any time for future use by contacting support@meetcorvus.ai.

9. Fraud and Misuse

Corvus enforces a zero-tolerance policy for fraud, misrepresentation, or abuse, including:

• Providing false or misleading information
• Submitting fabricated or plagiarized Contributions
• Operating multiple or deceptive accounts
• Attempting to manipulate compensation or access

Violations may result in immediate termination and forfeiture of unpaid compensation.

10. Termination

You may terminate your account at any time by contacting support@meetcorvus.ai.

Corvus may suspend or terminate your account at its discretion if:

• You violate these Terms
• You fail to meet quality or integrity standards
• Continued participation is not aligned with platform needs

Upon termination:

• Access to the Service will end
• Unpaid or unvested compensation may be forfeited
• Previously compensated Contributions may continue to be used per these Terms and the Privacy Policy

11. Disclaimers

The Service is provided “as is” and “as available.”

Corvus makes no guarantees regarding:

• Frequency of invitations or compensation
• Availability or uptime of the Service
• Commercial success or usage of any research products

12. Limitation of Liability

To the fullest extent permitted by law, Corvus AI, Inc. shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of income, data, or opportunity

Total liability shall not exceed the greater of $100 USD or the total compensation paid to you by Corvus in the preceding 12 months.

13. Indemnification

You agree to indemnify and hold harmless Corvus, its officers, employees, and partners from claims arising from:

• Your Contributions
• Your violation of these Terms
• Your misuse of Corvus materials or data

14. Governing Law and Arbitration

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute shall be resolved through binding arbitration under the rules of the American Arbitration Association.
You waive the right to class actions and jury trials.

15. Modifications to the Service

Corvus may modify, suspend, or discontinue the Service or any portion thereof at any time without liability.

16. Changes to These Terms

We may update these Terms periodically.
Material changes will be communicated, and continued use constitutes acceptance.
